SERVICE TERMS & CONDITIONS
Residential & Commercial HVAC / Repair Services
These Service Terms & Conditions (“Terms”) apply to all diagnostic, maintenance, repair, replacement, installation, and related services (“Work”) performed by Astra Air & Repair (“Astra”) for the customer (“Customer”) at the service property (“Property”). By signing or electronically approving an estimate, work order, proposal, or service request, Customer agrees to these Terms.
1. Authorization to Perform Work
Customer represents that they are the Property owner or are authorized by the Property owner to approve the Work. Customer authorizes Astra to access the Property and perform the services described in the approved estimate or work order.
Astra’s scope is limited to the Work specifically authorized. Conditions or repairs outside the approved scope are not included unless subsequently authorized.
2. Estimates & Unforeseen Conditions
Estimates are based on conditions reasonably observable at the time of inspection. HVAC systems may contain concealed, inaccessible, deteriorated, improperly installed, or previously repaired components that cannot be identified until work begins.
If Astra discovers additional conditions requiring work beyond the approved scope, Astra may stop work and provide a revised estimate or recommendation before proceeding. Unless expressly stated otherwise, an estimate is not a guarantee that additional repairs will not be required.
3. Payment
Payment is due in full immediately upon completion of the authorized Work, unless different payment terms have been agreed to in writing before work begins.
Customer remains responsible for payment regardless of reimbursement by an owner, property manager, insurance carrier, warranty company, or other third party. Past-due balances may be subject to reasonable collection costs, returned-payment fees, and interest or late charges to the extent permitted by law. Astra may suspend future service or warranty work while an account is past due.
4. Existing Systems & Pre-Existing Conditions
Astra is not responsible for defects, damage, code deficiencies, improper installation, deterioration, contamination, or other conditions existing before Astra’s Work or resulting from work performed by others.
HVAC systems consist of interconnected equipment, electrical components, refrigerant lines, ductwork, drains, controls, plumbing connections, and building components. Repair or replacement of one component does not guarantee the condition or future performance of other components. Astra is not responsible for subsequent failures of components that were not included in the authorized Work.
5. Condensate, Drain Lines & Water Damage
Customer acknowledges that HVAC systems naturally produce condensation and that condensate systems can clog, leak, overflow, crack, disconnect, deteriorate, or otherwise fail.
Condensate drain lines, drain pans, float switches, pumps, and related components require ongoing inspection and maintenance. Even properly installed and maintained systems cannot completely eliminate the possibility of a future condensate overflow or water event.
Unless directly caused by Astra’s negligent performance of the specific Work being performed, Astra is not responsible for water intrusion, condensate overflow, drain stoppage, drain-line failure, plumbing or roof leaks, equipment sweating, excessive humidity, or resulting damage to ceilings, walls, flooring, cabinetry, insulation, personal property, or other portions of the Property.
Customer agrees to promptly report any observed water, staining, dripping, unusual humidity, musty odor, or other indication of moisture.
6. Moisture, Mold & Microbial/Bacterial Growth
Astra is an HVAC and repair contractor. Unless separately contracted and legally authorized to do so, Astra is not acting as a mold assessor, mold remediation contractor, environmental consultant, industrial hygienist, or indoor-air-quality specialist.
HVAC service, repair, maintenance, or replacement does not guarantee the prevention or elimination of mold, mildew, bacteria, microbial growth, odors, allergens, or other indoor environmental conditions.
Moisture and microbial growth can result from numerous conditions outside Astra’s control, including roof or plumbing leaks, building-envelope defects, humidity, inadequate ventilation, occupant activity, prior water events, drainage issues, construction conditions, and maintenance practices.
Astra makes no representation that an HVAC repair, drain cleaning, equipment replacement, UV device, filtration product, dehumidifier, or other HVAC service will prevent future mold, bacteria, microbial growth, or indoor-air-quality concerns.
To the fullest extent permitted by law, Astra shall not be responsible for mold, mildew, bacterial or microbial growth, indoor-air-quality conditions, or resulting remediation, testing, relocation, loss-of-use, personal-property, business-interruption, or similar costs except to the extent directly caused by Astra’s negligent performance of the Work.
If suspected microbial growth or significant water damage is identified, Astra may recommend that Customer obtain evaluation from an appropriately licensed or qualified third party before additional work proceeds.
7. Customer Maintenance Responsibilities
Customer is responsible for reasonable ongoing maintenance of the HVAC system, including filter replacement, keeping equipment and drain areas accessible, monitoring for leaks or abnormal operation, and arranging periodic professional maintenance.
Customer must promptly notify Astra of any concern following service. Continued operation of equipment after observing leaking, unusual noises, burning odors, icing, drainage problems, or other abnormal conditions may cause additional damage for which Astra is not responsible.
8. Repairs vs. Replacement
When Customer elects to repair older, deteriorated, or compromised equipment rather than replace it, Customer acknowledges that other components may subsequently fail.
Astra’s repair of one component does not constitute a representation that the remainder of the system is in good condition or will operate for any particular period.
9. Warranties
Any Astra labor warranty will be stated on the applicable invoice, estimate, proposal, or service agreement. Manufacturer warranties are subject solely to the manufacturer’s terms and eligibility requirements.
Unless otherwise stated in writing, warranties do not cover failures or damage caused by lack of maintenance, clogged drains, dirty filters, power irregularities, weather, flooding, pests, misuse, alterations, work performed by others, pre-existing conditions, or unrelated component failures.
Warranty coverage is limited to correction of the covered Work and does not include consequential or incidental damages to the extent permitted by law.
10. Access & Property Conditions
Customer will provide safe and reasonable access to equipment and work areas and disclose known hazardous or unusual conditions.
Astra is not responsible for damage resulting from necessary access to concealed or inaccessible equipment when such access has been disclosed to and authorized by Customer. Unless specifically included in the scope, Astra does not provide finish carpentry, painting, drywall repair, roofing, flooring, or other restoration following access.
11. Recommendations Declined by Customer
Astra may identify or recommend repairs, replacements, safety improvements, drain protection, maintenance, or other corrective measures.
If Customer declines or postpones recommended work, Astra is not responsible for subsequent equipment failure or property damage arising from the condition that Astra identified or recommended correcting.
12. Limitation of Liability
To the fullest extent permitted by applicable law, Astra shall not be liable for indirect, incidental, special, exemplary, or consequential damages, including loss of use, lost income, lost rent, temporary housing, business interruption, or damage resulting from conditions outside Astra’s authorized scope of Work.
Except for liability that cannot legally be limited, Astra’s aggregate liability arising from the Work shall not exceed the amount actually paid to Astra for the specific Work giving rise to the claim.
Nothing in these Terms is intended to exclude liability that cannot lawfully be excluded or limited.
13. Opportunity to Inspect or Correct
Customer agrees to promptly notify Astra of any alleged defect or problem relating to Astra’s Work and provide Astra a reasonable opportunity to inspect and, when appropriate, correct the Work before Customer engages another contractor.
Emergency measures reasonably necessary to prevent immediate property damage are excluded from this requirement.
14. Entire Agreement & Governing Law
The approved estimate, proposal, work order, invoice, applicable service agreement, and these Terms constitute the agreement concerning the Work. Any modification must be agreed to in writing.
If any provision is determined to be unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law. Texas law governs these Terms.
CUSTOMER ACKNOWLEDGMENT
By signing below or electronically approving Astra’s estimate, proposal, or work order, Customer acknowledges that they have reviewed and agree to these Service Terms & Conditions and authorize Astra Air & Repair to perform the approved Work.
